根据《中华人民共和国民法典》等相关法律法规及规范性文件的相关规定，基于平等、自愿、公平、诚实信用的原则，经各方充分协商，就甲方委托乙方代为采购服装等事宜，在双方友好协商，平等互利的基础上达成如下协议，以兹共同遵守:
In accordance with the relevant provisions of the Civil Code of the People's Republic of China and other relevant laws, regulations and normative documents, based on the principles of equality, voluntariness, fairness, honesty and credibility, after full consultation by all parties, the following agreements have been reached on the basis of friendly consultation, equality and mutual benefit between the two parties on matters such as Party A's entrustment of Party B to purchase clothing on behalf of Party A, so as to be jointly complied with：
第一条 委托事宜
Article 1
Entrustment Matters
（一）采购标的物
(一) Purchasing Subject
1、 乙方按照甲方的指示，代理甲方在中华人民共和国大陆境内（不包含港澳台地区）采购服装类、鞋类、饰品类等商品（以下简称“代购商品”），具体代购商品内容以双方签订的单笔《中国采购代理订单》为准。订单一经甲方确认（包括电子签章或系统确认），即作为本协议的一部分，适用本协议所有条款的约束。
1. In accordance with the instructions of Party A, Party B shall act as an agent for Party A to purchase clothing, footwear, accessories and other goods (hereinafter referred to as "purchased goods") in mainland China (excluding Hong Kong, Macao and Taiwan), and the specific content of the purchased goods shall be subject to the single "china sourcing agent order" signed by both parties. Once the order is confirmed by Party A (including electronic signature or system confirmation), it shall be as part of this Agreement and be bound by all the terms of this Agreement..
2、 甲乙双方共同确认，每笔《中国采购代理订单》项下代购商品的供货商、货物名称/规格/数量、下单订货、代购商品查验等事宜均由甲方自行选择、确认及处理。乙方对代购商品的种类、规格、质量、价格、供货商资质等不做任何质检或保证，仅提供代购及其他拆包、外观核验、包装定制、物流等服务（每笔《中国采购代理订单》项下代购商品所需的具体服务内容以该订单具体约定为准），乙方不对商品本身的质量、性能、合法性等承担任何责任。如因供货商或商品本身导致任何纠纷，由甲方自行与供货商交涉解决，乙方可视情况提供必要协助（协助费用由甲方承担）。
2. Party A and Party B jointly confirm that the supplier, product name/specification/quantity, confirming order and inspection of the purchased goods under each "china sourcing agent order" shall be selected, confirmed and handled by Party A, and Party B shall not conduct any quality inspection or make any guarantee regarding the type, specification, quality, price, qualification of the supplier, etc. of the purchased goods, and shall only provide services such as purchasing, as well as other services including box opening, appearance verification, custom packaging, and shipping, etc. (The specific service content required for the purchased goods under each "china sourcing agent order" shall be subject to the specific agreement of the very order).Part B shall not bear any responsibility for the quality, performance, legality, etc. of the goods themselves. In case of any dispute caused by the supplier or the goods themselves, Party A shall negotiate with the supplier on its own, and Party B may provide necessary assistance as appropriate (the assistance fee shall be borne by Party A).
（二）代购商品金额
(二) Amount of Goods Purchased
1、 乙方与甲方结算代购商品价款、收付款手续费、增值服务费、乙方采购代理服务费等任何本协议及采购订单项下任何费用的货币单位均为美元
Party B and Party A settle the price of the purchased goods, and the currency of the payment fee, value-added service fee and Party B's purchasing service charge, and any other fees under this Agreement and the "china sourcing agent order", shall be USD.
2、 每笔《中国采购代理订单》项下代购商品的货款金额（明细及总额）、采购代理服务费用以及增值服务费用以甲方下单时确认的《中国采购代理订单》内容为准。订单一经确认，甲方不得单方变更价格或服务内容，除非经乙方书面同意并签订补充协议。
The payment amount (details and total amount) of the purchased goods , purchasing service charge and value-added service fees under each "china sourcing agent order" shall be subject to the contents of the "china sourcing agent order" confirmed by Party A when placing the order. Once the order is confirmed, Party A shall not unilaterally change the price or service content unless agreed in writing by Party B and a supplementary agreement shall be signed.
（三）付款方式
(三) Payment Method
1、 甲方应在确认每笔《中国采购代理订单》内容后一次性向乙方全额支付该笔订单的商品价款、乙方采购代理服务费、商品拆包费用（如有）、商品拍照核验费用（如有），甲方付齐上述款项后该笔订单生效。
Party A shall, after confirming the content of each "china sourcing agent order", make a one-time full payment to Party B of the purchased goods price, Party B's purchasing service charge, box opening charge (if any) and product photography verification fee (if any) for the very order. The order shall take effect only after Party A finish the payment of all the aforesaid amounts.
2、 如果甲方在单笔订单中选择了包装定制及/或国际物流的增值服务内容，则甲方应在收到乙方基于报价生成的付款链接后7日内完成支付，逾期未支付的，构成根本违约，乙方有权取消/解除该笔订单、没收已收取款项，并采取如下一项或多项措施弥补乙方损失：
1）向甲方收取仓储费等因商品滞留所产生的额外费用；
2）自行处置货物，包括但不限于向供货商退货、弃置、转卖或变卖等措施。
If Party A has selected value-added service contents such as custom hang tag/label/packaging and/or shipping in a single order, it shall complete the payment within 7 days after receiving the payment link generated by Party B based on the quotation. Failure to make the payment within the time limit shall constitute a fundamental breach of this Agreement. Party B shall be entitled to cancel/terminate the order, confiscate the already received payments, and take one or more of the following measures to compensate for its losses:
1) Charge Party A additional fees such as storage fees incurred due to the retention of purchased goods;
2) Dispose of the purchased goods on its own, including but not limited to returning them to the supplier, discarding, reselling or selling them, etc.
3、甲方应在收到乙方发来的单笔《中国采购代理订单》后及时核对订单上各项应付款项金额，如有异议应及时与乙方沟通。如甲方按该笔订单记载金额支付商品价款、乙方采购代理服务费、商品拆包费用（如有）、商品拍照核验费用（如有）的，则视为甲方完全同意该笔《中国采购代理订单》记载的各收费项目及收费金额等全部内容，该笔订单自上述款项足额支付完成之日起生效，甲方不得再以金额有误等原因要求取消订单或要求退还、扣减相关费用。同时，甲方的付款行为亦视为对订单上约定的包装定制费用（如有）金额及国际物流费用（如有）金额的确认，甲方应按前款约定的付款期限完成付款，否则乙方有权采取约定的补救措施，相关责任及不利后果由甲方承担。
Party A shall, upon receipt of a single "china sourcing agent order" sent by Party B, promptly check the amount of each payable item on the order. If there is any objection, Party A shall communicate with Party B in a timely manner. If Party A pays the purchased goods price, Party B's purchasing service charge, box opening charge (if any) and product photography verification fee (if any) according to the amount recorded in the "china sourcing agent order", it shall be deemed that Party A fully agrees to all contents recorded in the "china sourcing agent order", including each charge item and charge amount. The order shall take effect from the date when the aforesaid amounts are fully paid, and Party A shall not request to cancel the order or demand a refund or deduction of relevant fees on the grounds of incorrect amount or other reasons. Meanwhile, Party A's payment act shall also be deemed as confirmation of the amount of custom hang tag/label/packaging fee (if any) and shipping fee(if any) agreed in the "china sourcing agent order". Party A shall complete the payment within the payment period agreed in the preceding paragraph; otherwise, Party B shall be entitled to take the agreed remedial measures, and Party A shall bear the relevant liabilities and all the losses.
4、因汇率差等原因（甲方银行付款等手续费等费用均由甲方自行负责，与乙方无关），甲方知悉并认可《中国采购代理订单》项下应付款金额有可能与甲方实际付款金额不一致，具体收款金额以乙方提供的相关实际到账凭证金额为准，如乙方实际收款金额与《中国采购代理订单》项下应付款金额不一致的，乙方有权要求甲方补足差额。如因甲方未足额付款导致订单尚未生效的，乙方有权拒绝履行本合同项下的受托义务。
Party A acknowledges and agrees that due to exchange rate fluctuations and bank processing fees (including but not limited to foreign currency conversion charges, remittance fees, and intermediary bank deductions), the actual amount received by Party B under the China Sourcing Agent Order ("Payable Amount") may differ from the amount remitted by Party A. All transaction costs incurred by Party A's payment (hereinafter "Payment-Related Costs") shall be solely borne by Party A and shall not affect Party B's entitlement to the full Payable Amount.
· The final receivable amount shall be determined based on Party B's official bank deposit confirmation ("Actual Receipt Voucher").
· Should the Actual Receipt Voucher reflect a shortfall against the Payable Amount, Party B may issue a written demand for balance supplementation.Failure by Party A to fully settle the Payable Amount (after accounting for Payment-Related Costs) constitutes a material breach. In such event:(i) The Order shall be deemed non-effective until full payment is remedied; and(ii) Party B reserves the right to suspend all entrusted obligations under this Agreement without liability.
（四）代购商品的验收、出口和运输
(四) Acceptance,Shipping and Export of Purchased Goods
1、 除非甲方付费要求乙方提供商品拆包及商品拍照核验的增值服务，否则乙方不负责代购商品的查验事宜，甲方应当在代购商品邮寄出口前自行或委托第三方（如报关服务商等）对该等商品进行盘点和验货。无论任何情形下，乙方不负责代购商品的售后事宜，亦不承担商品质保责任，与商品质量及售后有关的事宜由甲方自行与各供货商协商处理。
Unless Party A pays Party B to provide value-added services of box opening and product photography verification, Party B shall not be responsible for inspecting the purchased goods. Party A shall, on its own or by entrusting a third party (such as a customs declaration service provider, etc.), conduct inventory checking and inspection of such purchased goods before they are mailed and exported. Under no circumstances shall Party B be responsible for after-sales matters of the purchased goods or bear the commodity quality assurance liability, and the quality and after-sales related matters shall be handled by Party A and the suppliers through negotiation.
2、 甲方在验货完毕之后，应自行或委托其他第三方办理出口报关手续，甲方与报关方之间的权利义务以其自行达成的报关服务协议为准，与乙方无关。如甲方另行委托乙方提供报关服务的，双方应另行签订服务协议并遵照履行，该协议独立于本合同。如果甲方委托乙方提供国际物流增值服务，甲方应当根据乙方要求，及时协助乙方提供各类代购商品国际运输所需资料。因甲方原因（包括甲方委托的报关方原因）导致代购商品出口及运输延迟的，乙方对此不承担任何责任，且有权要求甲方承担由此增加的仓储费等合同履约成本。
After completing the inspection of the purchased goods, Party A shall handle the export customs declaration formalities on its own or by entrusting another third party. The rights and obligations between Party A and the customs declaration party shall be subject to the customs declaration service agreement reached by them independently, and shall have no connection with Party B. If Party A separately entrusts Party B to provide customs declaration services, both parties shall sign a separate service agreement and perform in accordance with it, which shall be independent of this Agreement. If Party A entrusts Party B to provide value-added shipping services, Party A shall, in accordance with Party B's requirements, promptly assist Party B in providing various materials required for the international transportation of the purchased goods. If the export and transportation of the purchased goods are delayed due to reasons attributable to Party A (including reasons attributable to the customs declaration party entrusted by Party A), Party B shall not bear any responsibility for this and shall be entitled to require Party A to bear the increased contract performance costs such as storage fees arising therefrom.
第二条 代理服务费
Article 2: Purchasing Service Charge
双方确认，乙方为甲方代购提供本协议项下的代理服务费以美元计价，每笔订单应收代理服务费金额以双方共同确认的《中国采购代理订单》内容为准。
Both parties confirm that Party B provides Party A with the agency service fee under this agreement for Party A's purchasing agent is denominated in USD, and the amount of purchasing service charge receivable for each order shall be subject to the content of the "china sourcing agent order" mutually confirmed by both parties.
第三条 增值服务费
Article 3: Value-added Service Fees
（一） 商品拆包费：指乙方将代购商品的包装进行拆包，去除多余包装等处理代购商品原包装所产生的增值服务费用。
Box Opening Charge: refers to the value-added service fee incurred by Party B for opening the packaging of the purchased goods, removing excess packaging, and otherwise processing the original packaging of the purchased goods.
（二） 商品拍照核验费：指乙方对代购商品进行拍照并提供给甲方核验所产生的增值服务费用。乙方提供此项服务仅为了甲方对代购商品种类、完好程度进行表面上的外观查验，乙方不负责对代购商品进行质量检验，不对商品质量、规格、功能等承担任何保证责任。
Product Photography Verification Fee: refers to the value-added service fee incurred when Party B takes photos of the purchased goods and provides them to Party A for verification. Party B provides this service only for Party A to conduct a superficial appearance inspection of the type and integrity of the purchased goods. Party B is not responsible for conducting quality inspection on the purchased goods, nor does it bear any guarantee liability for the quality, specifications, functions, etc. of the goods.
（三） 包装定制费：指甲方对代购商品的包装向乙方提出个性化定制要求，乙方根据甲方要求定制个性化包装所产生的增值服务费用。代购商品包装方案经甲方确认后执行，因甲方临时变更需求产生的额外费用由甲方承担。
Custom hang tag/label/packaging fee: refers to the value-added service fee incurred when Party B customizes personalized packaging according to Party A's requirements, where Party A puts forward personalized customization requirements for the packaging of purchased goods to Party B. The packaging plan for the purchased goods shall be implemented after being confirmed by Party A. Any additional fees arising from Party A's temporary change of requirements shall be borne by Party A.
（四） 国际物流费：指甲方委托乙方将代购商品邮寄至甲方境外指定收件地址所产生的增值服务费用，包含中国境内及甲方指定收货地的境外物流费。物流方式及时效以乙方合作物流商提供信息为准。
Shipping Fee: refers to the value-added service fee incurred when Party A entrusts Party B to mail the purchased goods abroad to the recipient address designated by Party A, including logistics fees within China and overseas at the destination designated by Party A. The logistics method and time limit shall be subject to the information provided by Party B's cooperating logistics providers.
（五） 商品拆包费、商品拍照核验费、包装定制费、国际物流费等各项费用的金额以每笔《中国采购代理订单》内容为准，甲方应按本协议第一条第（三）-3款约定在下单付款前审慎核对各项费用金额。
The amounts of various fees such as the Box Opening Charge, Product Photography Verification Fee, Custom Hang Tag/Label/Packaging Fee and Shipping Fee shall be subject to the content of each "china sourcing agent order". Party A shall carefully check the amounts of these fees before placing the order and making payment in accordance with the provisions of Clause (3)-3 of Article 1 of this Agreement.
（六） 乙方在全额收到包装定制费、国际物流费后才能提供相应增值服务，否则乙方有权不提供或者暂缓提供相关增值服务且不承担任何违约责任，由此造成的一切损失由甲方自行承担。
Party B shall only provide the corresponding value-added services after receiving the full payment of the Custom hang tag/label/packaging fee and/or Shipping Fee. Otherwise, Party B shall be entitled to refuse to provide or suspend the provision of relevant value-added services without assuming any liability for breach of this Agreement, and all losses arising therefrom shall be borne by Party A itself.
（七） 如果甲方同时选择商品拆包及商品拍照核验增值服务，并在服务过程中发现代购商品存在问题（包括商品与订单不符、外观重大瑕疵、数量不符、缺少配件等），且该问题符合供应商无理由退货条件的，甲方应在乙方此前通知的退货期限内向乙方提出退货要求，乙方在收到代购商品供应商退款后10日内向甲方退还款项，在此情况下，乙方应退款项=供应商退回的代购商品货款金额—乙方向甲方退还款项所产生的银行手续费用，但乙方已收取的代理服务费、商品拆包费、商品拍照核验费均不予退还；如果甲方没有同时选择商品拆包及商品拍照核验增值服务，则甲方不得在收货后以商品存在质量或外观问题等理由要求乙方向供货商进行退换货物，亦不得要求乙方退还任何已收款项（包括商品价款及代理费、各项增值服务费等），甲方可自行与供货商协商处理货物纠纷，乙方对此不承担任何形式的保证、连带、共同责任。
If Party A selects both the value-added services of box opening and product photography verification, and during the service process, problems are found with the purchased goods (including but not limited to inconsistency between the goods and the order, major appearance defects, quantity discrepancy, missing accessories, etc.), and such problems meet the supplier's conditions for return without reason, Party A shall put forward a return request to Party B within the return period previously notified by Party B. Party B shall refund the money to Party A within 10 days after receiving the refund from the supplier of the purchased goods. In this case, the amount to be refunded by Party B = the amount of the purchase price of the goods returned by the supplier minus - the bank handling fees incurred by Party B for refunding the money to Party A. However, the purchasing service charge, box opening charge and product photography verification fee already collected by Party B shall not be refunded.
If Party A does not select both the value-added services of box opening and product photography verification, it shall not, after receiving the goods, request Party B to return or exchange the goods from the supplier on the grounds of quality or appearance problems of the goods, nor shall it request Party B to refund any received money (including purchased goods price, purchasing service charge, various value-added service fees, etc.). Party A may negotiate with the supplier on its own to handle the goods disputes, and Party B shall not bear any form of guarantee, joint or several liability for this.
第四条 本协议有效期
Article 4: Validity of this Agreement
（一）本协议有效期为： 年 月 日 - 年 月 日 。

（二）本协议期满，若甲乙双方如无异议，本协议以1个自然年为周期自动延续生效，如任何一方提出不再续约的，应在到期之前一个月通知对方，则本协议到期止。
Upon the expiration of this Agreement, if both parties have no objection, this Agreement shall be automatically renewed and effective in a cycle of one natural year, and if either party proposes not to renew the agreement, it shall notify the other party one month before the expiration, and this Agreement shall be terminated upon expiration.
（三）如本合同有效期满双方未续约但尚有单票/单批《中国采购代理订单》项下货物采购及出口等委托事务尚未履行完毕的，本合同有效期自动顺延至该票/该批货物采购等委托事务履行完毕之日。
If the validity period of this contract expires but both parties have not renewed the contract but there are still entrusted affairs such as the purchase and export of goods under the "China Sourcing Agent Order" that have not been completed, the validity period of this contract will be automatically extended to the date on which the entrusted affairs such as the purchase of the documents/batch of goods are completed.
（四）因不可抗力致使本协议不可履行的、一方严重违反本协议致使对方不能实现协议目的、或者经双方协商一致的，双方可以解除本协议，且合同解除之前双方已经履行的权利义务效力、合同成果不受影响。
If this Agreement cannot be performed due to force majeure, if one party seriously violates this Agreement and the other party cannot achieve the purpose of the agreement, or if the two parties agree through negotiation, both parties may terminate this Agreement, and the validity of the rights and obligations performed by both parties before the termination of the contract and the results of the contract will not be affected.
第五条 违约责任
Article 5: Liability for Breach of Contract
双方应本着诚实信用原则，自觉履行协议。如任何一方违反协议项下约定，或在本协议所作的陈述和保证有任何虚假、不真实或重大遗漏则构成违约，违约方应依法承担相应的违约责任。除协议另有约定或法律另有规定外，协议任何一方未履行协议项下的义务或者履行义务不符合协议的相关约定，守约方均有权要求违约方继续履行或采取补救措施，并要求违约方赔偿因此给守约方造成的实际损失及为追偿损失而支付的合理费用，包括但不限于律师费、财产保全费、取证费用等。
Both parties shall consciously perform the agreement in good faith. If either party violates the provisions of this Agreement, or if there is any false, untrue or material omission in the representations and warranties made in this agreement, it shall constitute a breach of agreement, and the breaching party shall bear the corresponding liability for breach of agreement in accordance with the law. Unless otherwise agreed in the agreement or otherwise provided by law, if either party fails to perform its obligations under the agreement or the performance of its obligations does not conform to the relevant provisions of the agreement, the non-breaching party shall have the right to require the breaching party to continue to perform or take remedial measures, and require the breaching party to compensate for the actual losses caused to the non-breaching party and the reasonable expenses paid to recover the losses, excluding attorney fees, property preservation fees, evidence collection fees, etc.
第六条 其他
Article 6: Miscellaneous
1、本协议在履行过程中发生的争议，由甲乙双方协商解决，协商不成的任何一方可向本协议的签订地广州市越秀区人民地法院提起诉讼。
Any dispute arising during the performance of this Agreement shall be settled by Party A and Party B through negotiation, and any party who fails to do so may file a lawsuit with the People's Court of Yuexiu District, Guangzhou City, where this Agreement is signed.
2、本协议同时以中英文书写，如有不明、冲突或不一致，以中文条款表述含义为准。
In the event of any inconsistency or discrepancy between the Simplified Chinese version of this Agreement and any translation, the Simplified Chinese version shall prevail.
3、本协议受中华人民共和国有关法律法规的管辖并据其进行解释。
对于本协议未尽事宜，双方应及时协商并对本协议进行必要的修改和补充，对本协议的修改和补充应以书面的形式做出，补充协议构成本协议完整的一部分。
This Agreement shall be governed by and construed in accordance with the relevant laws and regulations of the People's Republic of China.
For matters not covered in this Agreement, the two parties shall negotiate in a timely manner and make necessary amendments and supplements to this Agreement, and the amendments and supplements to this Agreement shall be made in writing, and the supplementary agreement shall form an integral part of this Agreement.
4、本协议是各方就相关事宜所达成的最终协议，并取代在此之前就相关事宜所达成的任何口头或者书面的陈述、保证、意向书等文件的效力。
This Agreement is the final agreement between the parties with respect to the subject matter hereof and supersedes any representations, warranties, expressions of intent and other documents previously made prior to that date with respect to the subject matter of the Agreement.
5、本协议一式贰份，双方各执壹份，每份具同等法律效力。
This Agreement shall be executed in two copies, each one signs and retains. And each copy shall have the same legal effect.
